一、合同名稱 本合同系乙方（買方）與甲方（賣方）針對(duì)（乙方訂購(gòu)商品的名稱）簽訂的外貿(mào)訂單合同。

二、商品名稱及數(shù)量 甲方向乙方供應(yīng)以下商品：

賣方負(fù)責(zé)出口商品，按照買方指定的出口貨物程序辦理出口手續(xù)；

五、質(zhì)量保證

賣方保證按照買方指定的要求和合同條款出售的產(chǎn)品，具有正確的質(zhì)量和規(guī)格；

如果買方收到的商品質(zhì)量有問(wèn)題，買方有權(quán)拒收；

六、包裝

賣方應(yīng)按照買方指定的包裝要求正確包裝，以保證貨物安全；

如果買方收到的商品包裝不符合要求，買方有權(quán)拒收；

七、交貨及發(fā)票

賣方應(yīng)按照買方指定的交貨期限，將商品及時(shí)送達(dá)買方指定的港口；

賣方應(yīng)按照買方指定的質(zhì)量保證要求，開具正確的商品發(fā)票；

八、其他條款

買賣雙方同意在貨物到達(dá)買方指定港口前，本合同生效；

買賣雙方應(yīng)遵守中華人民共和國(guó)現(xiàn)行有效的法律法規(guī)；

十、爭(zhēng)議解決

因本合同發(fā)生的任何爭(zhēng)議，買賣雙方應(yīng)友好協(xié)商解決；

如果協(xié)商不能解決，任何一方有權(quán)向有管轄權(quán)的法院提起訴訟。

13 Payment：

By confirmed, irrevocable, transferable and divisible L/C to be available by sight draft to reach the sellers before ___/___/_____ and to remain valid for negotiation in China until 15 days after the aforesaid time of shipment. The L/C must specify that transhipment and partial shipments are allowed.

付款條件：

買方須于_____年_____月_____日將保兌的，不可撤銷的，可轉(zhuǎn)讓可分割的即期信用證開到賣方。信用證議付有效期延至上列裝運(yùn)期后15天在中國(guó)到期，該信用證中必須注明允許分運(yùn)及轉(zhuǎn)運(yùn)。

17 Force Majeure：

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

人力不可抗拒因素：

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。

18 Arbitration

All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

仲裁：

在履行協(xié)議過(guò)程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過(guò)友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。
